1 Introduction
These Terms and Conditions ("Terms") govern the relationship between Skout Global ("Skout", "we", "us", or "our"), and any individual or corporate entity ("Client", "you") that engages Skout's services or accesses the Skout Global website at skoutglobal.com ("Site").
By submitting an enquiry, signing a Letter of Appointment, or otherwise engaging Skout, you agree to be bound by these Terms. If you do not agree, please do not use our services.
2 Definitions
- "Services" means the office space sourcing, advisory, and introduction services provided by Skout as described in Clause 3.
- "Listing" means any office space, co-working suite, serviced office or related premises introduced or presented by Skout to the Client.
- "Landlord" means any property owner, operator, co-working provider or licensor of a Listing.
- "Letter of Appointment" means a written mandate issued by the Client authorising Skout to act as its agent in connection with a specific office search.
- "Transaction" means the execution of any lease, licence, or occupancy agreement for a Listing introduced by Skout to the Client.
3 Services
Skout provides office space sourcing and advisory services across selected markets in Asia Pacific, currently including Tokyo, Singapore, Hong Kong, and Taipei. Our Services include:
- Understanding and documenting the Client's workspace requirements
- Identifying and curating suitable office Listings from our network
- Arranging viewings and introductions to Landlords
- Assisting with the negotiation of lease or licence terms
- Coordinating the transaction process through to occupation
Skout acts as an intermediary and does not own, operate or guarantee the quality, availability or fitness for purpose of any Listing. All Listings are subject to change without notice.
All Listings presented on the Site are for informational purposes only and do not constitute an offer to lease or a warranty of availability. Availability should be independently verified prior to any commitment.
4 Client Obligations
The Client agrees to:
- Provide accurate and complete information regarding its requirements, budget, and timeline
- Inform Skout promptly of any change in requirements or circumstances that may affect the search
- Not directly approach any Landlord introduced by Skout without Skout's knowledge during the term of any Letter of Appointment
- Keep all Listing information, pricing, and Landlord details shared by Skout confidential
- Notify Skout immediately upon entering into any agreement for a property introduced by Skout
5 Exclusivity
Unless expressly stated as exclusive in the Letter of Appointment, Skout's appointment is non-exclusive and the Client may engage other agents concurrently. Where an exclusive mandate has been granted, the terms and duration of exclusivity will be set out in the Letter of Appointment.
Skout is not obligated to work exclusively for the Client and may represent other clients with similar requirements in the same markets simultaneously.
6 Confidentiality
Both parties agree to treat as confidential all non-public information disclosed in connection with the Services, including but not limited to: pricing, lease terms, Landlord identities, Client business plans, and any information expressly marked confidential.
This obligation does not apply to information that: (a) is or becomes publicly available other than through a breach of these Terms; (b) was already known to the receiving party prior to disclosure; or (c) is required to be disclosed by law or regulatory authority.
The confidentiality obligations under this clause shall survive termination of any engagement for a period of two (2) years.
7 Limitation of Liability
To the fullest extent permitted by applicable law, Skout's total aggregate liability to the Client in connection with any engagement shall not exceed the fees actually paid by the Client to Skout in the three (3) months preceding the relevant claim.
Skout shall not be liable for any:
- Loss of revenue, profit, business, or opportunity
- Indirect, consequential, or incidental damages of any kind
- Losses arising from the Client's reliance on Listing information without independent verification
- Failure or delay in performance caused by circumstances beyond Skout's reasonable control
Nothing in these Terms limits liability for death, personal injury, fraud, or any other liability that cannot be excluded under Singapore law.
8 Termination
Either party may terminate an engagement by providing fourteen (14) days' written notice to the other party. Where a Letter of Appointment is in place, that document's termination provisions shall take precedence.
Upon termination, the Client remains obligated to pay any fees due in respect of Transactions introduced by Skout prior to the termination date, including those that complete within six (6) months after termination.
Skout reserves the right to suspend or terminate services immediately and without notice in the event of the Client's material breach of these Terms or non-payment of agreed fees.
9 Governing Law & Dispute Resolution
These Terms and any engagement with Skout shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.
In the event of any dispute, the parties agree to first attempt resolution through good faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to the courts of Singapore, whose jurisdiction the parties irrevocably submit to.
10 Amendments
Skout reserves the right to update or amend these Terms at any time. The most current version will always be available on this page, and the date of last update will be revised accordingly. Your continued engagement with Skout following any amendment constitutes acceptance of the updated Terms.
No amendment to a specific Letter of Appointment or engagement letter shall be valid unless made in writing and signed by both parties.
